Server Hardware for Hyper-V with two Guest OS

Hello all,

I have an existing SBS 2003 with Exchange 2003 running on it.
I want to install a clean host server 2008 with Hyper-V, and install two guest virtual machines that will hold the existing server and a new Terminal Server 2008.
The Terminal will be used to serve mostly MS Office applications and the like.
Both virtual servers will serve about 15-20 thin stations (with basic XP installed), though the SBS will probably serve about 10 more regular stations.

What I want to know is whether either of the following configurations is good for me, overkill, or maybe I need something entirely different.
